When you place an order, you submit an offer to purchase. GuideGxP reserves the right, at its discretion and for any reason, to accept or reject your order. Your order is not confirmed until GuideGxP confirms its acceptance. Before accepting an order, we must receive and process payment. Please carefully review your order before submitting it, as GuideGxP may be unable to accommodate requests to cancel an order after acceptance. In the event of rejection, modification, or cancellation of an order, we will notify you using the email, billing address, and/or phone number you provided when placing the order.

We are not responsible for delays in shipping and delivery. All delivery times are estimates only and are not guaranteed. We are not responsible for delays attributable to shipping carriers, customs procedures, or events beyond our control. Once products are transferred to the carrier, title and risk of loss pass to you.

You may have access to customer tools offered by third parties as part of the Services, which we do not monitor, control, or input.

GuideGxP is operated by Shopify, which enables us to provide the Services to you. However, sales and purchases you make in our Store are made directly with GuideGxP. By using the Services, you understand and agree that Shopify is not responsible for any aspect of sales between you and GuideGxP, including any injuries, damages, or losses arising from the purchase of products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or relating to purchases and transactions you make with GuideGxP.

You agree to indemnify, defend, and hold harmless GuideGxP, Shopify, and our affiliates, partners, officers, directors, employees, agents, merchants, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys’ fees, brought by any third party due to or arising out of: (1) your breach of these Terms of Service or the documents they incorporate by reference; (2) your violation of any law or the rights of a third party; (3) your access to and use of the Services.
We will notify you of any indemnifiable claims, provided that failure to give prompt notice will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but we will not settle claims requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of non-indemnified claims, including providing relevant documents.
